1. About Qualgistics

Qualgistics is a freight brokerage operating as a trade name of 1001382878 Ontario Inc., incorporated in Ontario, Canada. We act as an intermediary between shippers and freight carriers and do not ourselves transport freight.

2. Services

Qualgistics provides freight brokerage and logistics coordination services including:

• Full Truckload (FTL) and Less-Than-Truckload (LTL) brokerage
• Canada–US cross-border freight coordination
• Time-sensitive and expedited freight arrangements
• Dedicated and contract capacity solutions
• Carrier sourcing and load matching

All services are subject to carrier availability and market conditions. Qualgistics does not guarantee the availability of specific equipment or capacity at any given time.

4. Quotes and Pricing

All quotes provided by Qualgistics are estimates based on information provided at the time of request. Final pricing may vary due to:

• Changes in fuel surcharges or carrier rates
• Inaccurate shipment weight, dimensions, or commodity information
• Accessorial charges (detention, redelivery, lumper, etc.)
• Border crossing delays or customs-related costs
• Market rate fluctuations

Quotes are not binding until confirmed in writing by Qualgistics.

5. Shipper Responsibilities

As a shipper using our services, you agree to:

• Provide accurate and complete shipment information including weight, dimensions, and commodity description
• Ensure freight is properly packaged and prepared for transport
• Comply with all applicable laws and regulations governing the shipment of goods
• Notify Qualgistics of any hazardous materials, restricted goods, or special handling requirements
• Make freight available at the agreed pickup time and location

6. Liability

Qualgistics acts solely as a freight broker and is not a motor carrier. As such:

• Qualgistics is not liable for loss, damage, or delay of freight in transit
• Liability for cargo loss or damage rests with the carrier contracted to perform the shipment
• Qualgistics will assist in filing claims with carriers on your behalf but makes no guarantee of claim outcomes
• In no event shall Qualgistics' total liability exceed the brokerage fees paid for the specific shipment in question

We strongly recommend shippers obtain adequate cargo insurance for all shipments.

7. Payment Terms

Payment terms will be specified in individual service agreements or invoices. Unless otherwise agreed in writing:

• Payment is due within 30 days of invoice date
• Late payments may be subject to interest charges
• Qualgistics reserves the right to suspend services for overdue accounts

8. Governing Law

These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

9. Amendments

Qualgistics reserves the right to update or modify these Terms and Conditions at any time. The most current version will be posted on our website. Continued use of our services following any changes constitutes acceptance of the updated terms.
